About this freeware software license agreement

This software license agreement, hereinafter referred to as “freeware software license agreement” for software solutions, hereinafter referred to as “software”, that can be downloaded from the Dr.Chgman.com website, hereinafter referred to as “Dr.Chgman.com”, is a legal agreement between you (either on behalf of yourself as an individual or on behalf of an entity as its authorized representative), hereinafter referred to as “you”, and AbitMORE bvba, hereinafter referred to as “AbitMORE”. This freeware software license agreement supersedes any previous versions.

By accepting this freeware software license agreement, downloading the software, installing the software, copying the software or otherwise using the software you agree to be bound by all of the terms of this freeware software license agreement regarding your use of the software. If you do not agree to the terms of this freeware software license agreement, do not accept this freeware software license agreement and/or do not download, install, copy or otherwise use the software.

Grant of license

Subject to the following terms, AbitMORE hereby grants you a non-exclusive, perpetual, non-transferable license to install and to use the software. You may:

• install and use the software on the computers of the company you indicated in “Company Info” in your profile on the Dr.Chgman.com website and
• copy the software for back-up or archival purposes. For softwares that require a license key from AbitMORE, you will have to contact AbitMORE for such license key, prior to receiving such license key from AbitMORE and prior to being able to use such softwares.

License restrictions

You may NOT:

• reverse engineer, decompile, or disassemble the software.
• create derivative works based upon, the software in whole or in part.
• distribute copies of the software or this freeware software license agreement.
• remove any proprietary notices or labels on the software.
• resell, lease, rent, transfer, sublicense, or otherwise transfer rights to the software.

Any such forbidden use shall immediately terminate your license to the software.

Title

You agree that no title to the intellectual property in the software is transferred to you. Title, ownership, rights, and intellectual property rights in and to the software shall remain in AbitMORE.

Copyright and patent laws of Belgium and international treaties protect the software.

Updates

From time to time, AbitMORE may make updates to the software available. You may download and install these software updates released by AbitMORE and for any extended term agreed to by you and AbitMORE. AbitMORE will publish available updates through the Dr.Chgman.com website.

All updates to the software shall be governed by this freeware software license agreement, unless other license terms are provided with the update.

Technical support

Technical support for the software, as made available by AbitMORE, is described within Z-Support on the Dr.Chgman.com website.

You must have a valid freeware software license agreement and you must have signed up for technical support (as detailed on Z-Support) to be eligible for technical support for the software.

Disclaimer of warranty

You agree that AbitMORE has made no express warranties, oral or written, to you regarding the software and that the software is being provided to you "as is" without warranty of any kind.

AbitMORE disclaims any and all other warranties, whether expressed, implied, or statutory, including, but without limitation, the implied warranties of non-infringement of third party rights, merchantability, and fitness for a particular purpose.

AbitMORE shall not be liable for indirect, incidental, special, cover, reliance, or consequential damages (including, but not limited to, loss of anticipated profit) arising from any cause under or related to this freeware software license agreement.

Limitation of liability

You must assume the entire risk of using the software. In no event shall AbitMORE be liable to you for any direct and/or indirect damages, including any lost profits, lost savings, or other incidental, indirect or consequential damages of any kind arising out of the use of the software, even if AbitMORE has been advised of the possibility of such damages.

In no event will AbitMORE 's liability for any claim, whether in contract, tort, or any other theory of liability, exceed the license fee paid by you. However, if the relevant software was provided to you at no charge you agree AbitMORE shall not be liable to you for any damages.

Termination

This freeware software license agreement shall terminate automatically if you fail to comply with the limitations described in this freeware software license agreement.

No notice shall be required from AbitMORE to effect such termination. You may also terminate this freeware software license agreement at any time by notifying AbitMORE in writing of termination.

Upon any termination of this freeware software license agreement, you must uninstall and destroy all copies of the software.

Severability

In the event of invalidity of any provision of this freeware software license agreement, both parties agree that such invalidity shall not affect the validity of the remaining portions of this freeware software license agreement.

Export

You agree that you will not export or re-export the software outside of the jurisdiction in which you obtained it without the appropriate Belgian or foreign government licenses.

Governing law

The laws of Belgium will govern this freeware software license agreement. The United Nations convention on contracts for the international sale of goods is specifically disclaimed.

Any dispute arising out of this freeware software license agreement or the interpretation thereof will be dealt with by the courts of Leuven, Belgium.

Entire agreement

You agree that this is the entire agreement between you and AbitMORE, and that it supersedes any prior freeware software license agreement, whether written or oral, and all other communications between AbitMORE and you relating to the subject matter of this agreement.

Reservation of rights

All rights not expressly granted in this freeware software license agreement are reserved by AbitMORE.
